You may not run search advertisements (such as Google AdWords) to bid on keywords that include the term "Hammacher Schlemmer" or any variation or misspelling of our brand name (for example "hammacher", "hammacherschlemmer", "Hammacher.com", etc.). You may not register any domain name that contains our brand name, misspellings of our brand name or variations of our brand name. You may not use our brand name or domain name, or any variation or misspelling of our brand name, as the display domain in any search advertisement. All search advertisements must link directly to your own web site. No banner or link provided through the Commission Junction interface may be distributed through contextual advertising networks such as Google Content without our express written permission. You may not use email to advertise Hammacher Schlemmer products or the Hammacher Schlemmer brand without obtaining our express written permission. You may not wrap or frame our site without our express written permission. You may not use software to advertise Hammacher Schlemmer if the software meets any of the following criteria: Your commission is paid on Net Sales resulting from Qualifying Orders. "Qualifying Order" means a bone fide order that a purchaser submits via the shopping cart on hammacher.com, in the session in which he or she is delivered by your link. Under the currently used technology, Commission Junction will place a cookie on the end-user's computer as he/she is delivered from your link to the Hammacher Website, to identify your Website as the delivering source when an order is placed in our shopping cart. The cookie will expire when the end-user places an order on the Hammacher.com site or 30 days after it is placed, whichever comes first. However, the cookie will be overwritten if the end-user returns to the Hammacher.com site from another tracked source. As a bonus to you, if the end-user returns to the Hammacher Website and places an order while your cookie remains active, the tracking software will treat this as a Qualifying Order. You will not receive a Commission if the end-user orders by telephone or fax. We reserve the right to change the technology we employ to calculate Commissions owed to you. "Net Sales" means the selling price of Hammacher gift certificates and merchandise (not counting sales tax, shipping and handling charges, or other separately itemized special charges, such as gift wrapping or insurance) specified in a Qualifying Order, less Deductions. "Payment Source" means the credit card issuer or other payment means designated by the purchaser in the Qualifying Order. Sometimes the Payment Source will refuse to approve a Qualifying Order for payment because an invalid card number has been given, the order price exceeds the purchaser's credit limit, or the order appears suspicious. Sometimes merchandise will be out of stock when a Qualifying Order is received, or will be manufactured to order, so shipment or approval by the Payment Source may be delayed, or an order may be canceled. In the case of stolen credit card numbers, the Payment Source that initially approved an order may reverse the charges when the actual cardholder complains about a bill. "Deductions" means the selling price of Hammacher merchandise that a customer returns within 60 days after shipment, that is not shipped due to cancellation by the customer or Hammacher or disapproval by the Payment Source, or that the Payment Source charges back after shipment. Deductions also include such negative or positive amounts as are necessary to adjust for errors in the Qualifying Order, such as duplicate submission or inaccurate price, that Hammacher's order processors or customer service personnel correct with customer consent or at the customer's request. You should check your account at least monthly and promptly notify Hammacher if you believe there are errors in the calculation of commissions we owe you or Deductions that we have taken. You will waive the right to contest any underlying calculation once the order has been locked (60 days after shipment). Commission Junction will be the final determiner of the amount that we owe you, and that you owe us. We will pay your commission to Commission Junction and it will pay you in accordance with your Publisher's Agreement with Commission Junction. |
